What are “services”? Subject to the terms of this Agreement, WeWork will use commercially reasonable efforts to provide you and your All Access Members with the Services at WeWork`s premises that provide access to all Access Members (the “Premises”). To use the Services, you and your All Access members must download our mobile application or use our desktop application through a web browser and access the WeWork member network. Services include: 1. Overview. Certain services provided by WeWork Companies LLC or its current or future affiliates (collectively, “WeWork”, “we”, “us”) may require a user (“User” or “you”) to register and maintain an account (“Account”) in order to use or access certain features of your WeWork Membership. These WeWork Terms of Service (the “Terms of Service”) describe your rights and obligations related to your use of the WeWork Application (the “WeWork Application”).

Please read these Terms of Use carefully as they affect your legal rights. If you have any questions about these Terms of Use, please contact us with the subject line “WeWork App Terms of Service” (i) to on-demand-support@wework.com if you are a weWork On Demand member (defined below) or (ii) by using the WeWork App Support feature for all other members (defined below). 4.What`s going on? For the avoidance of doubt, references to “Services” in these Terms refer to your access to and use of our network of online members, events and member-only offers, as well as your room in one of our WeWork locations (each, a “Local”) and certain other related services and features we offer. The exact services you receive depend on (a) the product(s) you have purchased; (b) the Services available, which may vary by premises, and (c) additional features and services you have selected, for example through .B a “Service Package”, which may be subject to additional policies, terms, conditions and/or rules (“Additional Terms”), including additional payment obligations. 11. Payments. The payment method you provide will automatically be charged for fees and any other amounts you incur or are responsible for in connection with the Services. Recurring fees, which may include a recurring membership fee (“Membership Fee”), will be charged on the first (1st) of each month, unless we tell us otherwise. Overage fees and other one-time charges (including for damage to our premises or property) will be charged within thirty (30) days of the accumulation of such charges. If the payment of an accumulated and unpaid commission is not made no later than the tenth (10th) month in which such payment is due, you are responsible for paying the late payment fee then in effect. Current late fees and overage fees can be found on our website under www.wework.com/faq. Your use of the Services and that of your All Access members may be immediately suspended or terminated if we are unable to charge your payment instrument for any reason.

When we receive funds from you, we will first apply the funds to all outstanding balances and the first month due first. All fees are non-refundable and must be paid in U.S. dollars. After a commitment period, we reserve the right, in our sole discretion, to further increase or decrease the membership fee after thirty (30) days` notice. 3. Who we are. Who we are for the purposes of this Agreement is the WeWork entity specified below based on where the Services are provided. We reserve the right to change the legal entity that charges you for your membership if necessary and we will notify you of such changes. In addition, the Services may be provided by the WeWork entity listed below or by one of our subsidiaries or affiliates. The relevant company with which you enter into this Agreement is referred to in this Agreement as “we”, “us”, “our” or “WeWork” and will be indicated on your invoice.

For any other requests, including legal notices, please contact the WeWork unit listed below at c/o WeWork Inc., 45 West 18th Street, 6th Floor, New York, NY 10011, Attn: Legal – WeWork On Request. The applicable WeWork entity is based on the location where the Services are provided, and the following list may change from time to time: WeWork may provide you with information about certain third parties (each, a “Provider”). I acknowledge that I am subject to the rules, regulations, terms of use and/or related agreements of the event venues and all such providers. You acknowledge and agree that WeWork is not responsible for any third-party products or services offered by any provider (“Services”). The Services are provided solely by each provider, and WeWork is not responsible for the provision of the Services and makes no representations regarding the Services. I acknowledge that WeWork accepts no liability for any damages and/or delays due to cancellations, bottlenecks, labor disputes, machine or quarantine failures, government restrictions, inclement weather, or force majeure events beyond WeWorks` control. If you have any disputes or problems regarding a service purchased from a provider, you should contact the provider directly. A supplier may provide goods or services for which it must have an official authorization or license.

WeWork does not review, validate, or collect evidence of regulatory information about a provider. You should do all the research you deem necessary before purchasing an offer from a supplier. Each supplier is solely responsible for the accuracy, care and quality of the services provided. WeWork is not responsible for any provider`s failure to comply with applicable federal, state, and local laws. 1. Overview. Except as prohibited by applicable law, these Terms and Conditions and the rules, conditions and policies referenced and contained herein (the “Terms of Access”), describe the membership details form, if any, and any other applicable policies and procedures provided or made available to you from time to time (collectively, the “Agreement”), Your rights and obligations in connection with your access to all workspaces and access services that are under or that are accidental or related to your All-Access membership (as described herein and available from time to time, the “Services”). By using the Services, you agree that you and all persons authorized to use your All Access membership (your “All Access Members” or “Members”) will comply with and be bound by this Agreement. 12.

Data Protection. We collect, process, transfer and secure your personal data in accordance with the terms of WeWork`s Global Privacy Policy and in accordance with applicable data protection laws. 22. Entire Agreement. These Terms of Use, together with any feature-specific or other policies, terms or rules published by WeWork or made available to you with respect to the WeWork Application, constitute the entire agreement between us with respect to the WeWork Application and supersede and merge all prior contemporaneous proposals, agreements and communications. You and WeWork acknowledge and agree that your use of the WeWork App will comply with all applicable third party terms and conditions that may affect or be affected by such use; and in Europe, the Middle East or Africa, the additional terms set out in Annex A-3: EMEA apply. 5. What the WeWork app is not. As used in these Terms of Use, the “WeWork App” does not include the provision of products or services by third parties (including other WeWork members) (“Third Party Services”) that you may encounter while using the WeWork App or that you wish to purchase as part of your WeWork Membership, and we are not involved in or responsible for it. Third Party Services are provided solely by the relevant third party (“Third Party Providers”) and in accordance with separate agreements between you and the relevant Third Party Providers. The terms and conditions of third parties shall prevail with respect to the relevant third-party services. B.

Access and use of the common areas on the premises, subject to the conditions set out in this Agreement. For the avoidance of doubt, these Terms of Use apply to your use of the WeWork App and set out the general requirements that apply to your respective WeWork account. The terms that govern your use of our physical space or your payment in connection with your access to the WeWork Sites to (i) any reservation made as part of your WeWork On Demand membership are the WeWork On Demand Membership Terms and Conditions or (ii) for any WeWork Membership that is not a WeWork On Demand Membership, the Terms and Conditions you have in connection with this membership. have accepted and/or signed (each, the “Terms and Conditions”). .
